6. Delivery Period:

7. Price:

8. Quantity of the shipped Goods:
- 1000 (One thousand) tons.
9. The terms of payment:
The payment for the Goods supplied under this Contract is carried out by the Buyer in favor of the Seller as follows:
∗ The buyer is obliged, within 3 days from the date of signing this contract, to submit a draft Letter of Credit, for approval by the Seller. After approval of the Draft Letter of Credit, the Seller will bill the invoice in the name of the Buyerin which the quantity of a monthly batch of goods for delivery and the amount for payment with a VAT rate of 0% is indicated.
∗ On the basis of the billed invoice issued, the Buyer is obliged within (5) five banking days from the date of receipt of the invoice, to open in the Seller's favor a Letter of Credit providing payment of 100% of the cost stipulated for the delivery of the Goods, expiring in the Seller's bank.
▪ The Letter Of Credit is subject to "Uniform Customs and Practices for Documentary Credits" (International Chamber of Commerce publication No. 600).
- The executing bank under all conditions of disclosure of the letter of credit is the bank of the Seller.
✓ CONDITIONS OF THE LETTER OF CREDIT:
1. Payment for the Goods is made by placing a Letter Of Credit in the Seller's account, DLC / MT700 format, Covered, Irrevocable - Confirmed, Documentary Letter of Credit (L/C), which is placed on the Seller's account for a period of 45 calendar days, for the amount of the monthly schedule of the Goods, within 5 (five) banking days from the date the Buyer receives the invoice for payment from the Seller, for a one-month batch of the Goods.
2. Letter of credit with payment upon presentation. - (Payment at Sight).
3. The validity of the letter of credit is – 45 days.
4. Overloading – not allowed.
5. Partial shipment – allowed
Disclosure of letter of credit:
Payment from the Letter of Credit to the account of the seller - the company LLC "NEFTEGAZSTROYINVEST" ("NGSI") (Russia) will be carried out on the following terms: DAP station Dostyk (exp.), KZH (708507) further station Alashankou; (Incoterms 2010), on providing the executing bank with the following documents:
a) Original INVOICE for each consignment of goods.
b) CCD (Cargo customs declaration) - a copy certified by the seal of the Customs Authorities of the R.Uz.
c) Original Duplicate railway / auto waybill on shipped goods with a mark of stations and certified by original printing stations:
1) Akhangaran station, UZB (code 723009), UTI
2) Keles station, UZB (code 720104), UTI
3) Station Sary - Agach (exp.), KZH (code 698305)
4) Station Dostyk (exp.), КZH (code 708507), then station Alashankou; (INCOTERMS 2010)
d) Quality certificate issued by producer: Copper cathodes of the Brand M00k, Cu - 99.99%; according to State standard (GOST) 546-2001. ''A'' Code of the Commodity Nomenclature of Foreign Trade Activity is: 740311000.
✓ Cargo customs declaration is not subject to verification by the executing bank on the content.
✓ Documents must be submitted to the bank within 5 days from the date of shipment, but during the validity period of the letter of credit.
- Fees and commissions for Letters Of Credit:
- All expenses of the supplier's bank at the expense of the supplier, all other costs - at the expense of the buyer.
- If it is necessary to amend the letter of credit, the commission for the changes is paid by the party that needs these changes. Commission for the discrepancy at the expense of the buyer.
- If the letter of credit is not sent out on time and the terms of the contract are not observed by the "Buyer", and the delay is more than 2 days, the Seller will be entitled to terminate the contract with attributing to the Buyer all losses caused by the failure of this Contract.
10. This Annex is in Russian and English languages in two copies and is an integral part of the Contract and shall enter into force upon signature by both parties.
